1. What the Platform is
Hiverta is a business-to-business ordering and account-management platform through which Seedorix Agri Science Pvt. Ltd. sells research-bred hybrid seed and allied agricultural inputs to its authorised dealers. It is not a consumer marketplace. Prices shown are dealer prices under your assigned tier; they are exclusive of GST unless stated and are not offers to the general public.
2. Who may use it
- Dealers — a firm that has completed KYC, been approved by Seedorix Agri Science Pvt. Ltd., and accepted the Authorised Distributor Agreement. Your account is for your firm; you are responsible for everyone who uses it.
- Staff and field officers of Seedorix Agri Science Pvt. Ltd., under their employment terms.
- Farmers may register to verify a seed bag and receive updates. Registration does not create a right to buy through the Platform; sales to farmers are made by authorised dealers.
You must be at least 18 and legally able to bind the firm you act for. You must hold, and keep valid, every licence the law requires to trade in the products you order. We may suspend an account whose licence has lapsed.
3. Your account
Keep your login credentials confidential. Every order, acceptance and instruction made from your account is treated as made by your firm. Tell us at once at [email protected] if you believe it has been used without authority.
4. Orders
- An order you place is an offer to buy. It becomes a contract only when we approve it, in whole or in part. We may approve a smaller quantity than requested when stock or season requires it; the balance is queued against your account with a promised date, and you may cancel the balance before it is dispatched.
- Approval is subject to your credit limit and account standing. An order that would exceed your available credit is refused unless settled another way; an account on credit hold cannot place new orders until it is cleared.
- Prices are those in force at the time of approval. A scheme or discount is applied only if it appears on the approved order.
- Minimum order quantities and per-order caps shown on a product apply.
5. Payment
You may pay on account within your credit terms, by UPI, NEFT/RTGS, cheque, cash on delivery where offered, or online through our payment gateway. Online payments are processed by a licensed third-party gateway under its own terms; we never see your card or banking credentials. A payment is credited to your ledger when it is confirmed to us. 6. Delivery
Delivery timelines, charges and proof of delivery are set out in our Shipping & Delivery Policy. Title to goods passes on delivery; risk passes when the goods are handed to you or your representative.
7. Seed and regulated products
Seed is a living, regulated product. Every Hiverta bag is labelled under the Seeds Act 1966 and the Seeds (Control) Order 1983 with lot number, germination and purity figures and a validity date. You agree to store it as labelled, to sell it only within its validity, and to keep the records the law requires of a seed dealer. Performance in the field depends on conditions we do not control; our liability for seed is limited to replacement of, or refund for, seed shown to have failed its labelled germination when tested under standard conditions.
8. Verification and traceability
The QR code on a bag lets anyone confirm it is genuine Hiverta seed and trace it to its lot. You must not remove, obscure or reuse a Hiverta label or QR code, or sell any product as Hiverta that did not come from us.
9. What you must not do
- use the Platform for anything other than trading with us as an authorised dealer;
- give access to anyone outside your firm, or scrape, copy or reverse-engineer it;
- upload false KYC documents or misstate your licences, GSTIN or PAN;
- resell outside the territory assigned to you where your agreement restricts this;
- use the Platform in breach of any law, including the Seeds Act, 1966 and the Seeds (Control) Order, 1983.
10. Our content
The Hiverta name and mark, the Seedorix name and mark, product names, photographs and all text on the Platform belong to Seedorix Agri Science Pvt. Ltd. or its licensors. You may use them only to sell our products in the ordinary course of your dealership.
11. Availability
We aim to keep the Platform available at all times but do not guarantee it. We may change, suspend or withdraw any feature. Where a feature is described on the Platform as not yet available, it is not available.
12. Liability
Nothing in these terms limits liability that cannot lawfully be limited. Subject to that, Seedorix Agri Science Pvt. Ltd. is not liable for loss of profit, business or goodwill, or for indirect or consequential loss, arising from use of the Platform; and our total liability in respect of any order is limited to the price paid for that order.
13. Termination
You may stop using the Platform at any time; outstanding invoices remain payable. We may suspend or close an account for breach of these terms or of the Authorised Distributor Agreement, for a lapsed licence, or for non-payment, after giving notice where the circumstances allow it.
14. Governing law
These terms are governed by the laws of India. Courts at the place of our registered office have exclusive jurisdiction, subject to any arbitration clause in the Authorised Distributor Agreement.
